1.2 Use of the B2B website and the Diamond Inventory is subject to approval; a separate application process is required to receive physical goods on memo and to purchase items listed in the Diamond Inventory.

1.3 The Waldman Diamond Canada Ltd. Terms and Conditions are subject to change and may be updated at any time.

2. Legal and Ethical Business Practices

2.1 Waldman Diamond Canada Ltd. is a Canadian wholesale diamond company that strives to provide honest, accurate, high quality, and competitively priced loose diamonds and services to the Canadian diamond and jewellery retail market.

2.2 Users who access the Diamond Inventory and all other areas of the website must fully comply with all applicable municipal, provincial, and federal laws and regulations.

2.3 Account Holders may be held accountable for all actions taken that violate Waldman Diamond Ltd. Terms and Conditions and policies even if such actions take place outside the Waldman Diamond Canada Ltd. network.

2.4 Enforcement of the Waldman Diamond Canada Ltd. Terms and Conditions is at the sole discretion of Waldman Diamond Canada Ltd. management.

3. Website Access

3.1 Account Holders may not disclose or share their access credentials (i.e. username and password) with any third party. Account Holders Service Agreement

By accessing the Waldman Diamond Ltd. website and using the Waldman Diamond Canada Ltd. services provided, you agree and accept the terms of this Account Holders agreement (“Agreement”)

1 Changes

This Agreement may be changed from time to time and, in using the services provided by Waldman Diamond Canada Ltd., you agree to accept such changes which will be posted on the Waldman Diamond Canada Ltd. website.

2 Definitions

All employees, agents and consultants of Waldman Diamond Canada Ltd.;

All disclaimers of warranty and limitations of liability in this agreement.

2.2 The term “Service” refers to the services provided by Waldman Diamond Canada Ltd.

2.3 The term “Account Holders” and “Retailer” includes the user, individual, jeweller, goldsmith and or company using the Service.

2.4 The term “Information” refers to any price lists, diamond lists, jewellery lists, pricing information, proprietary data or any documentation provided online, by email, by mail, or in person by Waldman Diamond Canada Ltd.

3 Description of Service

3.1 Waldman Diamond Canada Ltd. provides access to information that enables the Retailer to buy, sell, price and market diamonds, and meets the day-to-day diamond needs of the company and their clientele.

3.2 Waldman Diamond Canada Ltd. strives to provide the most accurate and up-to-date information of inventory listed on the website; however, because diamond grading is dependent on reputable gemological laboratories (e.g. GIA, AGS etc.) and pricing is based on subjective methods, no guarantee is made or liability assumed as to the accuracy or validity of the Information provided by the Service or the expertise of Waldman Diamond Canada Ltd.

3.3 Waldman Diamond Canada Ltd. does not guarantee the quality, accuracy, or reliability of any information provided, nor is the information an appraisal or guarantee of value.

4 Access to and use of the Service

4.1 To subscribe to or use the web-based Services, the Retailer must provide personal and company details, address, phone number, and e-mail address. To obtain physical goods on memo or to purchase, they may be required to provide the following:

• sufficient proof to Waldman Diamond Canada Ltd. upon reasonable satisfaction that it is a legitimate professional of the diamond and jewellery trade with verifiable industry affiliation;

• a copy of a government issued identification document or certificate confirming and verifying that the Retailer is a duly constituted company, corporation or entity according to the laws of the province or country under which it was formed or incorporated;

• a government issued identification document for each of the individual users who shall have permitted access to and use of the Service;

• trade references, credit card, debit card or bank account information.

This information is necessary for us to create your business Account, process transactions or to contact you should the need arise in administering your business Account. Waldman Diamond Canada Ltd. will not make any personal identification documents available to anyone without the Account Holders’ permission.

4.2 Waldman Diamond Canada Ltd. reserves the right to restrict, suspend, or deny any or all Services provided to any Account Holders who breach the provisions of this Agreement.

4.3 Account Holders may not disclose or share their access, username or password with any third party. Password use is limited to the registered Account Holders. Account Holders may request additional passwords in the event multiple users require access to the company data.

4.4 Account Holders may not disclose Waldman Diamond Canada Ltd. information or derivatives thereof to unauthorized third parties. The Waldman Diamond Canada Ltd. Diamond Inventory Price List and Jewellery Price Lists are examples of such information.

4.5 Account Holders are required to fully comply with the terms of this Agreement and any additional service policies as published from time to time as circumstances require.

4.6 Account Holders agree not to and shall not permit or assist any other party to:

• Use any information, either in part or whole, or any of the Services for the purpose of fraud, misrepresentation, slander, false claims, money laundering, or any other criminal misconduct under municipal, provincial, federal and international law;

• Use the Service in any way that violates Canadian law and/or any jurisdiction in which the Retailer resides;

• Access the Service in any unauthorized manner;

• Violate any Trademark, Copyright, Terms of Service, or Terms and Conditions associated with the Service;

5. Copyright

5.1 Account Holders recognize that all information provided through Waldman Diamond Canada Ltd. is copyrighted by Waldman Diamond Canada Ltd. and agree to respect all intellectual property rights of Waldman Diamond Canada Ltd.. Any copyright, trademark, logo, printed material, online information, or price report of Waldman Diamond Canada Ltd. may not be used in any promotion, advertising or publication without the express written permission of Waldman Diamond Canada Ltd.

6. Technical Difficulties

6.1 From time to time, technical difficulties may render the Service inoperable. Waldman Diamond Canada Ltd. does not guarantee uninterrupted service and accepts no liability for any such interruption.

7.2 Inventory

Waldman Diamond Canada Ltd. does not claim to have examined any of the diamonds that are listed on the website. Information provided by the Service is based on diamond grading information acquired from the corresponding lab certification. Such information may be wrong and thereby result in inaccurate pricing or grading analysis. The use of the Service by the Account holder is on his or her own account and risk, and Waldman Diamond Canada Ltd. provides no guarantee for accuracy of the information listed on the Service by Account Holders.

8. Termination

8.1 Waldman Diamond Canada Ltd. shall have the ability to terminate this Agreement for any reason at any time.

8.2 Upon termination of this Agreement for any reason, the services granted to Account holder herein shall immediately cease. Upon termination of this Agreement, the Account holder shall immediately cease using the Service and all information provided by the Service.

8.3 All restrictions regarding the use and distribution of the Information provided in terms of this Agreement shall survive the termination of this Agreement
